EULA

This End User License Agreement (“Agreement,” “EULA”) is a legal contract between you (“User,” “you,” or “your”) and Omniivex Technologies LLC (“Company,” “we,” “our,” or “us”) governing your access to and use of the Omniivex platform, Website, mobile applications, and related services. By creating an account, purchasing products, or otherwise accessing the services, you agree to be bound by this Agreement.

1. License Grant

Omniivex grants you a limited, non-exclusive, non-transferable, revocable license to use our Website and services solely for personal, non-commercial purposes, subject to compliance with this Agreement.

You may not:

Copy, modify, distribute, or resell any part of the platform.
Reverse-engineer, decompile, or attempt to extract source code.
Use the services for unlawful purposes, fraud, or unauthorized transactions.

2. Account Registration

To access certain features, you must register for an account.
You agree to provide accurate and current information during registration.
You are solely responsible for maintaining the confidentiality of your login credentials and all activities under your account.

3. Purchases and Gift Cards

All purchases are final unless otherwise stated in our Refund & Returns Policy.
Gift cards purchased through Omniivex are governed by the terms and conditions of the issuing retailer.
Omniivex is not liable for lost, stolen, expired, or unauthorized use of gift cards once delivered.
Prices and offers are subject to change without notice.

4. Ownership and Intellectual Property

All rights, titles, and interests in the Website, services, software, and content remain the exclusive property of Omniivex Technologies LLC and its licensors.
This Agreement does not grant you ownership of any intellectual property rights.

5. SMS / Messaging Program

Omniivex may offer SMS alerts related to promotions, offers, and account updates.

By opting in, you consent to receive marketing and informational text messages.
Message frequency: 1–4 messages per month.
Reply STOP to unsubscribe, or HELP for assistance.
Standard message and data rates may apply.
Consent is not a condition of purchase.

6. Restrictions on Use

You agree not to:

Engage in fraudulent activities or misuse of gift cards.
Attempt unauthorized access to our systems or interfere with Website operations.
Use the services to distribute harmful code, spam, or malicious activities.

7. Termination

Omniivex may suspend or terminate your access without notice if you:

Violate this Agreement.
Engage in fraudulent or illegal activities.
Misuse the services or compromise platform security.

Upon termination, your license to use the services immediately ends.

8. Disclaimer of Warranties

The Website and services are provided “as is” and “as available” without warranties of any kind.
We do not guarantee uninterrupted, error-free, or virus-free service.
Retailers’ gift card terms apply independently; Omniivex makes no warranty regarding third-party products.

9. Limitation of Liability

To the maximum extent permitted by law:

Omniivex is not liable for indirect, incidental, or consequential damages.
Our total liability in any case will not exceed the amount you paid for the relevant purchase.

10. Indemnification

You agree to indemnify, defend, and hold harmless Omniivex Technologies LLC, its affiliates, employees, and partners against claims, damages, losses, or expenses arising out of your use of the services, violation of this Agreement, or infringement of third-party rights.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Kentucky, without regard to its conflict of laws principles.

12. Changes to this Agreement

We may modify or update this EULA at any time. Updates will be posted on this page with the new Effective Date. Continued use of our services after changes means you accept the revised Agreement.
